摘要: 合规管理内嵌于公司治理并成为适用于所有公司的普遍性约束,但存在合规管理规范的外在性以及合规管理之规与公司依法治理之法不对应的双重难题。公法属性的合规管理规范以及既非公法渊源又非私法渊源的合规管理规范有效作用于公司治理的路径受限。民商事习惯机制是公司法回应合规管理强化趋势的有效路径。为此,应借助于私法效应及实现机制促进合规管理监管规则向公司治理习惯的转化。被转化为公司治理习惯后,裁判者应关注公司合规管理在遵循规则、机构设置及职权配置类习惯、公司内部机构职权行使程序、合规管理体制适应性改造等不同类型的组织习惯。

Abstract: Compliance management embedded in corporate governance has become a universal constraint applicable to all companies. However, there are two problems: the externality of compliance management norms and the incompatibility between compliance management norms and corporate governance according to the law. There are limited ways in which compliance management norms of public law and the compliance management norms of neither public nor private laws are effectively applicable to corporate governance. Civil and commercial habit mechanism is an effective way for company law to respond to the increasing trend of compliance management. Therefore, the private law effect and its realization mechanism should be used to promote the transformation from regulatory rules of compliance management to corporate governance habits. After the transformation, referees should pay attention to different types of organizational habits of corporate compliance management, such as rules obedience, institutional setup and authority allocation, the power exercise procedures by internal institutional authority and adaptive transformation of compliance management system.
